1. Parties and scope

This agreement is between Felipe Restrepo Photography ("the photographer") and the person who signs it when booking ("the client"), and applies to the session chosen at booking: a content package (Content Starter, Content Batch, Content Day or Miami Trip Shoot) or a portfolio package (Model Digitals, Portfolio Update or Editorial Test), with the inclusions described on feliperestrepo.com on the booking date. By signing, both parties agree to all of the clauses below.

2. Deposit and payment

A deposit of 50% of the package price reserves the date. The deposit is non-refundable, except as stated in clauses 4 and 5. The remaining balance is due in full on the session day BEFORE any photographs are taken: the photographer does not begin photographing until 100% of the package price has been paid. If the client does not pay the balance, the session does not take place and is treated as a cancellation by the client (clause 4). When the client pays the deposit by card on the website, she authorizes the photographer to store that card securely with Square and to charge the balance automatically on the session day, before the session starts; if that charge is not approved, the client must pay the balance by another method before any photographs are taken. While any balance is unpaid, the photographer may withhold the gallery and any products. Balances unpaid more than 15 days after the session may carry a reasonable administrative fee, disclosed to the client in advance. If the client chooses to pay by Zelle or Bitcoin instead of card, she pays 100% of the package price when booking, sending it to the account shown with its reference code, and the date is confirmed once the payment arrives. Of that payment, 50% counts as the deposit under this clause and the remaining 50% as a prepaid balance, both subject to clauses 4 and 5. Bitcoin amounts are fixed in US dollars at the exchange rate shown at booking, and any refund owed is made in US dollars.

3. Booking confirmation

The time is held for 48 hours from the booking request. The client pays the deposit within that window and signs this agreement right after paying it. The session is confirmed once the deposit is paid and this agreement is signed; the photographer does not photograph any session without this signed agreement. If the deposit is not paid within 48 hours, the time is released with no obligation for either party. By paying the deposit, the client accepts these deposit and cancellation terms.

4. Cancellation by the client

The client has 24 hours after paying the deposit to cancel for a full refund, as long as the session is not scheduled within that same period. After that grace period, any cancellation forfeits the deposit. If the client cancels less than 7 days before the session and the balance has already been paid, the balance is also non-refundable unless otherwise agreed in writing.

5. Cancellation by the photographer

If illness, an emergency or another cause beyond the photographer's reasonable control prevents the session, the photographer will offer to reschedule at no cost or, if that is not possible, refund everything paid, including the deposit. In no case will the photographer's liability for this cause exceed the amount paid by the client.

6. Rescheduling

The client may reschedule ONCE at no cost with at least 48 hours' notice, subject to availability. A second change, or a change with less than 48 hours' notice, may carry an administrative fee or forfeit the deposit, at the photographer's discretion.

7. Location, access and travel

The session takes place on location at the home, hotel or Airbnb chosen by the client within Miami-Dade, Broward or Palm Beach counties. Locations outside that area may carry a travel fee agreed in advance. The client is responsible for the location being available, for having permission to photograph there, and for any venue costs. The photographer never publishes or shares the session address.

8. Age, ID and conduct

The client confirms she is at least 18 years old. Before any photographs are taken she shows a valid government-issued photo ID; the photographer may record her legal name and date of birth and keeps that record private. Anyone else who appears in the images must also be at least 18, show valid ID and sign the photographer's model release before appearing. The client sets her own limits and may pause or end the session at any time. Sessions cover lingerie, swimwear, implied and artistic nude, boudoir and lifestyle content; the photographer does not photograph or film sexually explicit conduct. The photographer may end the session without refund in the event of abusive, threatening or unsafe conduct, and will deliver the images captured up to that point.

9. Styling, hair and makeup

Outfits, props, hair and makeup are arranged by the client unless otherwise agreed in writing. Delays caused by the client may reduce photography time without refund.

10. Delivery

Edited images and video clips (unedited, straight from camera) are delivered in a private, password-protected online gallery within 5 to 7 days, the selects included in the package within 48 hours, high-end retouched images within 2 weeks, and Model Digitals within 48 hours (estimates based on current workload; the client will be notified of any significant delay). The gallery stays online for at least 90 days, so the client should download and back up her images.

11. Editing and style

Edited images receive color, tone and light correction in the photographer's style. High-end retouched images (the number included in each package) also receive detailed skin and finishing work. The shape or size of the body is never altered. Each additional high-end retouched image is $25.

12. Unedited files (RAW)

Unedited files are not part of the delivery and remain the photographer's property. The photographer selects, with professional judgment, the images to edit and deliver.

13. Copyright and license

The photographer is the sole copyright owner of all images under United States copyright law. Content packages: the client receives a non-exclusive, perpetual, worldwide license to publish, sell and distribute the delivered images and video clips on her subscription and fan platforms, pay-per-view messages, her own websites and social media, and in advertising for her own brand. Portfolio packages: the client receives a non-exclusive, perpetual license to use the delivered images in her portfolio, comp cards, agency and casting materials and social media, crediting @feliperestrepocom on social posts where practical. Neither license allows reselling or sublicensing the images as stock, to other creators or to third parties, or claiming authorship of them. Any other commercial use (brand campaigns or paid advertising for third parties) requires the photographer's written permission.

14. Use of images by the photographer

Content packages: the photographer does not publish, sell or share the images, except images the client approves in writing (an email or message is enough), which the photographer may use in its portfolio, website, social media and own advertising. Portfolio packages: the client authorizes the photographer to use images from the session in its portfolio, website, social media and own advertising. In every case the photographer never publishes the client's full legal name, contact details or location alongside the images, never sells the images to third parties, and never publishes nude images without the client's written approval.

15. Data privacy

The client's information (name, email, phone, session location) is used only to provide the service, communicate about the session and keep internal records. It is not sold or shared with third parties for marketing, unless required by law.

16. Assistants

Because this is an intimate session, the photographer brings an assistant only with the client's prior consent.

17. Force majeure and equipment failure

The photographer is not liable for delays or failures caused by events beyond reasonable control (severe weather, natural disasters, public health emergencies, closures or government restrictions); in that case the session is rescheduled at no cost. The photographer uses professional equipment with reasonable backups, but in the event of a technical failure or loss of files beyond reasonable control, liability is limited as stated in clause 18.

18. Limitation of liability

The photographer's total liability for any reason related to this agreement will not exceed the amount paid by the client for the session. The photographer is not liable for indirect, incidental or consequential damages.

19. Indemnification

The client will hold the photographer harmless from claims, damages or reasonable expenses arising from (a) injuries or damage caused by the client or her companions during the session, (b) use of a location without the necessary permissions, or (c) false statements by the client, including about her age.

20. Notices

Communications about this agreement may be made by email, text message or WhatsApp to the contact details the client provided when booking, and are considered delivered when sent.

21. General provisions

The client may not assign this agreement without the photographer's written consent. Any change must be in writing (email or text included) and accepted by both parties. Not enforcing a clause at a given time does not waive it. This is the entire agreement regarding the session and replaces any prior agreements; if any clause is found invalid, the rest remains in effect. The clauses on copyright, use of images, limitation of liability, indemnification and privacy survive the session.

22. Language

This agreement exists in English and Spanish; in case of any difference between the two versions, the English version prevails.

23. Governing law

This agreement is governed by the laws of the State of Florida. In case of a disagreement, the parties will first seek a direct, good-faith solution; failing that, the dispute will be resolved in the courts of Palm Beach County, Florida. The prevailing party in any legal proceeding arising from this agreement may recover reasonable attorney's fees and costs.

24. Electronic signature

By checking the acceptance box and typing her full name when signing this agreement, the client confirms that she has read, understood and accepts this entire agreement, and that this electronic signature has the same validity as a handwritten signature under the federal ESIGN Act and Florida law.
